Evernorth Holdings (Nasdaq: XRPN) has signed a committed equity facility with CF Principal Investments, a Cantor affiliate, that lets it sell up to 5,218,935 new Class A shares over about 14 months, according to an 8-K filed on 23 Oct. Evernorth, which CryptoWatchDesk last covered on 13 Oct when XRPN’s first day of trading closed at $16.91, can draw on it at its own discretion.
The arithmetic matters more than the headline sum. Evernorth says its main measure is XRP per share. Shares sold at 97% of the market price raise that number only while the stock trades above the value of the XRP behind each share; below it, every sale dilutes holders.
The facility’s guardrails are loose. Evernorth cannot send a purchase notice if the previous close is under $1.00, and purchases stop counting on any day the price falls more than 10% below that close.
The full 5,218,935 shares would bring in about $80.7 million in gross proceeds at the $15.46 close of 22 Oct, the company’s resale prospectus says. That would be about 16.7% of its Class A stock once issued.
Each purchase is capped at 20% of the day’s trading volume and at a 4.99% stake for Cantor. Evernorth owes a $521,893.50 commitment fee, recalculated later on the average price of the first million shares sold.
“We intend to use any proceeds from the Facility for general corporate purposes, including the acquisition of XRP and other activities within the XRP ecosystem, as well as working capital,” the prospectus says. It expects a substantial portion to go on more XRP.
Cantor Fitzgerald & Co., the expected executing broker, has a conflict of interest under FINRA rules because its affiliate receives the sale proceeds.
The company closed its SPAC merger with 473 million XRP on 10 Oct. No shares can be sold until the SEC declares the resale registration effective.
